Audit Committee Quarterly Winter 2009-2010

Considering the increasing weight of the supervisory board and the audit committee in corporate governance today, the ACI was keen to learn how views and everyday practice regarding audit committee effectiveness are developing. In this issue of the Audit Committee Quarterly two experienced supervisory board members, Marinus Minderhoud and Adri Baan,  share with us their thoughts about their oversight roles and tasks, including the agenda for the near future.
We also spoke with Marcel Niggebrugge, CFO of de Nederlandse Spoorwegen, and Arnout van der Veer, Chief Risk Officer of Reed Elsevier. As managers they are important counterparts of the audit committee, providing quantitative and qualitative material the audit committee needs in order to do its job well.

Audit Committee Quarterly Fall 2009

The governance of hospitals, housing corporations and cultural organisations attracts increasing attention by the media. Unfortunately the news is not always good. The increasing complexity of many non-profit organisations that have grown into large scale operations, proves to be very challenging for management and oversight alike. A good reason, it seems, for the Audit Committee Quarterly to devote this issue to the growing importance of professional management and oversight in the highly interesting world of non-profit.

Governance in the downturn. In choosing the theme for this issue of the Dutch Audit Committee Quarterly we haven't tried to win a prize for originality! Governance in the downturn is simply the dominant perspective for management and supersivory boards at the moment. We were very fortunate to have interviewed Jeroen van der Veer, Jorma Ollila (CEO and chairman of Royal Dutch Shell) and Kees Storm (a.o. supervisory baordmember of Aegon).

Audit Committee Quarterly Winter 2008-2009

Looking at this issue of the Audit Committee Quarterly, you might wonder why we have chosen the theme corporate social responsibility (CSR)? And, why now? Beginning with the first question, we believe this theme is interesting for audit committee members because consumers, shareholders and other stakeholders appear to value sustainability more and more. This means that ecological, social and governance risks must be viewed as increasingly important elements of risk assessment in a company. In this issue Peter Blom and Dolf van den Brink share their opinion about this interesting topic.

Audit Committee Quarterly Fall 2008

Crisis management: About a year ago, when we determined the theme of the Fall edition of the Audit Committee Quarterly, we did not know the financial crisis would become so widespread and catastrophic as it appears to be now. At present, crisis management has top priority not only in financial institutions, but in most economic organisations around the world, including governments. We are fortunate to have interviews with two very experienced people, Gerrit Zalm and Erik van de Merwe, who were willing to share their views - and worries - with us about the origins and the consequences of the crisis … and some possible remedies.
